Definitions
e-complai: The trade name of the company (Chamber of Commerce No. 97488321), based in the Netherlands.
Platform: The online software service provided by e-complai.
User or Client: Any person or business using e-complai’s platform.
Services: All features offered on the platform, including document uploads, compliance checklists, and AI-powered email analysis.
Applicability
These terms and conditions apply to any use of the e-complai platform. By registering via email and/or using the platform, the customer agrees to these terms.
e-complai offers an AI-driven platform that allows users:
Upload documents
Complete an EUDR compliance checklist
Enable automatic email monitoring
Get support for meeting compliance requirements
e-complai does not guarantee full compliance. The customer remains responsible for adhering to laws and regulations.
License and usage rights
You get a non-exclusive, non-transferable license to use the platform. You may not copy, resell, or reverse-engineer the software or its underlying tech.
User responsibilities
You're responsible for using the platform safely and correctly. This means:
Keeping login credentials private
Not uploading illegal or harmful content
Making sure any shared info doesn’t violate others' rights
Payment and billing
The customer pays a subscription fee per user per month, to be paid monthly or annually (as chosen at purchase). If payment is delayed, e-complai reserves the right to temporarily or permanently deactivate the account.
Duration and termination
The duration of the subscription depends on the choice of the customer during registration.
For monthly subscriptions, a notice period of 1 month applies.
For annual subscriptions, the subscription remains valid until the end of the contract year.
After cancellation, all data will be deleted within 6 months.
Liability
e-complai supports compliance workflows but isn’t liable if you fail to meet legal requirements.
It’s also not responsible for indirect damages like lost data or business interruption.
Maintenance and availability
e-complai performs periodic maintenance on the platform and strives for maximum availability. However, downtime cannot be completely ruled out.
Privacy and data processing
Personal data is handled according to our privacy policy.
You remain the data controller for uploaded content; e-complai acts as a processor.
Force majeure
We’re not liable if services are disrupted due to events like technical failures, natural disasters, pandemics, or government action. We’ll aim to resolve issues quickly and communicate clearly.
Intellectual property
All platform IP—including software, models, content, and documentation—remains the property of e-complai or its licensors.
Legal jurisdiction
These terms are governed by Dutch law.
Disputes will be handled by the court in Amsterdam, unless otherwise required by law.
